By accessing our website or engaging our services, you agree to these Terms of Service. If you do not agree with these terms, please do not use our website or services.

1. Our Services

Apex Bookkeeping Partners provides remote bookkeeping and financial support services to businesses, including services such as:

Bookkeeping and transaction recording
Bank and credit card reconciliations
Accounts Payable and Accounts Receivable support
Expense tracking and categorization
Financial reporting
QuickBooks Online support
Excel-based bookkeeping and financial data management
Other bookkeeping and administrative financial support agreed upon with the client

The specific services, deliverables, timelines, and fees will be agreed upon with each client before work begins.

2. Client Responsibilities

To provide accurate and timely services, clients are responsible for:

Providing complete and accurate financial information and documentation
Providing timely access to necessary accounting systems, financial records, and supporting documents
Reviewing information and reports provided by Apex
Informing us of any changes that may affect the services
Responding to questions or requests for clarification in a timely manner

Apex is not responsible for errors, delays, or incomplete work resulting from inaccurate, incomplete, or delayed information provided by the client.

3. Access to Financial Accounts

We use secure methods of access whenever possible.

For QuickBooks Online clients, access may be provided through QuickBooks Online Accountant invitations and appropriate user permissions.

We do not request or require clients to provide their direct banking passwords.

Clients remain responsible for maintaining the security of their own accounts and access credentials.

4. Fees and Payment

Service fees, billing frequency, payment terms, and any additional charges will be communicated and agreed upon before services begin.

Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the invoice.

If payment becomes overdue, Apex may temporarily suspend services until the outstanding balance is resolved.

Any additional work outside the agreed scope may be subject to additional fees, which will be communicated to the client before the work is performed whenever reasonably possible.

5. Month-to-Month Services

Ongoing bookkeeping services are generally provided on a flexible month-to-month basis unless otherwise agreed in writing.

Either party may end an ongoing service arrangement by providing reasonable written notice in accordance with the agreed service terms.

Any outstanding fees for services already performed remain payable after termination.

6. Confidentiality

We understand that bookkeeping involves sensitive business and financial information.

Apex will treat client information as confidential and will not disclose it to third parties except:

With the client’s authorization
When necessary to provide the agreed services
When required by law or legal process
When necessary to protect our rights, security, or property

We take reasonable steps to protect confidential information from unauthorized access or disclosure.

7. Accuracy and Client Review

We make reasonable efforts to provide accurate and reliable bookkeeping services based on the information and documentation provided by the client.

However, clients remain responsible for reviewing their financial records and reports and notifying Apex of any discrepancies, omissions, or concerns.

Bookkeeping services do not guarantee that a client’s financial records will be completely free from errors.

8. Tax and Professional Advice Disclaimer

Apex Bookkeeping Partners provides bookkeeping and financial data support services.

Unless specifically agreed otherwise and performed by an appropriately qualified professional, our services do not constitute:

Tax advice
Legal advice
Investment advice
Financial planning
Audit or assurance services

Clients should consult a qualified CPA, tax professional, attorney, financial advisor, or other appropriate professional for advice outside the scope of our services.

9. No Guarantee of Business Results

Our services are intended to provide organized financial records and useful financial information to support business decision-making.

However, we do not guarantee specific business, financial, tax, or profitability results.

Business decisions remain the responsibility of the client.

10. Third-Party Software and Services

Our services may involve third-party platforms such as QuickBooks Online, Microsoft Excel, cloud storage providers, communication tools, banking platforms, or other software selected by the client or agreed upon for service delivery.

Apex is not responsible for outages, technical failures, security incidents, policy changes, or other issues caused by third-party platforms.

Clients are also responsible for maintaining appropriate access and permissions for their own third-party accounts.

11. Website Use

The content on this website is provided for general informational purposes.

You may not use the website to:

Violate any applicable law or regulation
Attempt to gain unauthorized access to the website or its systems
Copy, reproduce, or distribute website content without permission
Interfere with the operation or security of the website

We reserve the right to modify, suspend, or discontinue any part of the website at any time.

14. Termination

Either the client or Apex may terminate a service relationship in accordance with the agreed service terms.

We may also suspend or terminate services if:

Payments remain overdue
The client provides materially inaccurate or misleading information
Continued service would violate applicable law
The client engages in abusive, fraudulent, or inappropriate conduct
The client materially breaches these Terms of Service

Termination does not eliminate any payment obligations incurred before termination.

15. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes to our services, website, or legal requirements.

Updated terms will be posted on this page with a revised “Last Updated” date.

16. Governing Law

These Terms of Service will be governed by applicable laws and regulations.

Where necessary, specific client service agreements may contain additional terms regarding governing law, jurisdiction, dispute resolution, and other contractual matters.
